1. Preamble
These General Business Terms and Conditions govern the business relations between Babylon Translations Ltd., Bulgaria, and its customers. Amendments or supplements to these terms are binding on Babylon Translations Ltd. only if it has explicitly confirmed them in writing. Oral agreements are not valid.
2. Services
The translator's task is the correct rendering of a given text from one language into another in terms of language and terminology. The customer is responsible only for faults in the original text.
Babylon Translations Ltd. aligns a translation with terminology adopted by the customer only by appropriate written agreement and provided that sufficient and complete documentation, such as previous translations or glossaries, was submitted when the order was placed.
Additional services, such as the provision of DTP, HTML or similar files by Babylon Translations Ltd., are subject to separate agreements and are charged separately.
3. Deadlines
Deadlines are valid only if confirmed in writing by Babylon Translations Ltd. If Babylon Translations Ltd. is late in providing a service, it must first be given an extension. Only after that extension has expired without result may the customer cancel the contract or request a price reduction.
The customer remains obliged to pay for the services provided by Babylon Translations Ltd. up to the notification of refusal of the service. In the event of force majeure, which includes all circumstances beyond the control of Babylon Translations Ltd., any claims by the customer for cancellation or price reduction are excluded.
4. Payment conditions
All invoices are due within 30 days of issue. No discounts are granted unless explicitly agreed. In the event of late payment, interest is charged at the usual bank rate for the period of delay. The right to withhold payment is generally excluded.
5. Retention of title
Copyright and all rights of use of any document translated and delivered by Babylon Translations Ltd. remain the property of Babylon Translations Ltd. until all amounts due have been paid. These rights pass to the customer when the full invoiced amount has been received in the bank account of Babylon Translations Ltd.
6. Liability
Babylon Translations Ltd. is liable only in cases of gross negligence. Liability for damage arising from the customer using the translation without checking it is excluded.
In the case of justified claims, Babylon Translations Ltd. must be given the opportunity to correct all faults. The customer may cancel the contract only if the correction is unsuccessful. All other claims, on whatever grounds, are generally excluded.
7. Confidentiality
Babylon Translations Ltd. treats all source texts and any additional information in full confidentiality. It may, however, pass these texts and information to subcontractors who are bound by the same confidentiality obligation.
8. Data protection
The customer's data and information are used only internally by Babylon Translations Ltd. and are never passed to third parties. The customer consents to this. Personal data protection is described in the privacy notice.
9. Place of jurisdiction and applicable law
The agreed place of jurisdiction is the competent court in Plovdiv. The contract is governed by the Bulgarian legislation in force. Provisions based on international trade treaties do not apply.
